4. License to Use the Service

4.1 Grant of License

Subject to your compliance with these Terms, Satoshis Games Inc. grants you a non-exclusive, non-transferable, revocable limited license to access and use the Service for your personal, non-commercial use.

4.2 Scope of License

This license is limited to the intellectual property rights of Satoshis Games Inc. and its licensors in the Tinies game and does not include any rights to other patents or intellectual property. You may not use the content of the Service in any other public or commercial way nor may you copy or incorporate any of the content of the Service into any other work, including your own website without the written consent of Satoshis Games Inc.

4.3 Restrictions on Use

You agree not to circumvent, disable or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any content or enforce limitations on use of the Service or the content therein. You may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Service or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

The software, content and documentation that make up the Service are copyrighted works of Satoshis Games Inc. or its suppliers. Satoshis Games Inc. reserves all rights and licenses in and to the Service not expressly granted to you under these Terms. This license does not give you any right to, and you may not:

Distribute, publicly display or publicly perform the Service; Make modifications to the Service; or Interfere with or circumvent any feature of the Service, including any security or access control mechanism.

4.5 Termination of License

Satoshis Games Inc. may terminate this license at any time for any reason or no reason. Your rights under this license will terminate immediately and automatically without any notice from Satoshis Games Inc. if you fail to comply with any of the terms and conditions of this Agreement.

5. In-Game Purchases

5.1 Types of Purchases

The Tinies game may offer virtual currencies, such as coins and tokens, and virtual goods (collectively "Virtual Items") for purchase. You may also purchase non-fungible tokens (NFTs) representing in-game assets.

5.2 No Monetary Value

The Virtual Items and NFTs are digital material with no cash value. They cannot be sold back to Satoshis Games Inc., or any other third party, and can only be used within the Tinies game.

5.3 Transactions

All transactions for the purchase of Virtual Items and NFTs are final. These items are non-refundable, non-exchangeable, and non-transferable, except in Satoshis Games Inc.'s sole discretion.

5.4 Pricing

Prices and availability of Virtual Items and NFTs are subject to change without notice. Satoshis Games Inc. does not provide price protection or refunds in the event of a price reduction or promotional offering.

5.5 Payment Methods

When you provide payment information to Satoshis Games Inc. or its authorized processor, you represent that you are the authorized user of the payment method, and you authorize Satoshis Games Inc. to charge your payment method for any Virtual Items or NFTs purchased.

5.6 Unauthorized Transactions

You are solely responsible for all transactions under your account, including unauthorized transactions. In the event of a problem with your purchase, please contact our support team.

5.7 Non-Transferable

Virtual Items and NFTs may not be transferred or resold for commercial gain in any manner, including, without limitation, by means of any direct sale or auction service. You may not purchase, sell, gift or trade any Virtual Item or NFT, or offer to purchase, sell, gift, or trade any Virtual Item or NFT, and any such attempt shall be null and void.

5.8 Updates and Changes to Virtual Items and NFTs

Satoshis Games Inc. reserves the right to manage, regulate, control, modify or eliminate Virtual Items and NFTs at its sole discretion, and Satoshis Games Inc. shall have no liability to you or any third party for the exercise of such rights.

5.9 Taxes

You are responsible for determining and paying the appropriate government tax authorities for any applicable taxes due on the purchase of Virtual Items or NFTs. Satoshis Games Inc. is not responsible for collecting, reporting, paying, or remitting to you any such taxes.

6. Non-Fungible Tokens (NFTs)

6.1 Definition of NFTs

NFTs are unique digital assets represented as tokens on a blockchain. In the context of the Tinies game, NFTs may represent various in-game assets such as characters, skins, or items, each with its own unique properties, values, and visuals.

6.2 Ownership of NFTs

When you purchase an NFT within Tinies, you obtain a digital certificate of ownership stored on the blockchain. However, the intellectual property rights of the in-game assets represented by NFTs still belong to Satoshis Games Inc.

6.3 Usage of NFTs

NFTs purchased or earned within the Tinies game can be used solely within the game. They cannot be used outside of the game environment without explicit permission from Satoshis Games Inc.

6.4 Reselling and Trading of NFTs

The resale or trading of NFTs should be performed according to the guidelines set by Satoshis Games Inc. Unauthorized third-party trading or selling platforms are not supported or recognized and may lead to penalties, including but not limited to account suspension.

6.5 No Guarantee of Value

Satoshis Games Inc. does not guarantee any particular value for NFTs. The value of NFTs is subject to various factors including but not limited to the supply and demand in the market.

6.6 Maintenance and Network Issues

Satoshis Games Inc. is not responsible for operational issues pertaining to the blockchain network that hosts the NFTs. These may include, but are not limited to, transaction delays or failures, and changes in network fees.

6.7 Loss of NFTs

Satoshis Games Inc. will not be responsible for any loss of NFTs due to actions taken by the user, such as the loss of private keys or the sending of NFTs to incorrect addresses. Please ensure to safeguard your blockchain wallet and private keys.

6.8 Termination and Modifications

Satoshis Games Inc. reserves the right, at its sole discretion, to modify or terminate any NFT-related features or services at any time without prior notice or liability.

6.9 Compliance with Laws

You are responsible for complying with all applicable laws and regulations related to your trading, holding, or use of NFTs.

7. User Conduct

7.1 General

As a user of Tinies, you agree to use the Service responsibly, in a manner that is respectful to other users, and in compliance with all applicable laws and regulations.

7.2 Prohibited Conduct

You agree not to engage in any of the following prohibited behaviors:

Use the Service to harass, abuse, stalk, or defame any other individual or entity. Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, offensive, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate. Use the Service for any illegal purpose, or in violation of any local, state, national, or international law. Attempt to interfere with, hack into or decipher any transmissions to or from the servers running the Service. You agree not to use any software or device that allows automated gameplay, expedited gameplay, or other manipulation of gameplay or game client and you agree not to cheat or otherwise modify a Service or game experience to create an advantage for one user over another.

7.4 Exploits

The use of any exploits, bugs, or other unintended game mechanics for personal gain or disruption of the Service is strictly prohibited. Any such behavior should be reported to Satoshis Games Inc. immediately.

7.5 Disruptions and Unauthorized Activities

You agree not to disrupt or interfere with the security or functionality of the Service. This includes any unauthorized access, modification, deletion, hacking, or theft of data from the Service.

7.6 Sanctions for Violations

Satoshis Games Inc. reserves the right to determine what conduct it considers to be in violation of the rules of use or otherwise outside the intent or spirit of these Terms of Service. 8. Account Termination

8.1 Suspension and Termination by Satoshis Games Inc.

We reserve the right, at our sole discretion, to suspend or terminate your account and prevent access to the Tinies game for any reason, at any time. We may also suspend or terminate your access to the Service if you violate these Terms, if we suspect that you have provided false information, or for any other reason we deem necessary.

8.2 Consequences of Termination

Upon termination of your account, you may lose access to any content, data, or other information related to your account. This includes any Virtual Items, NFTs, or other items associated with your use of the Service. Satoshis Games Inc. is under no obligation to compensate you for any such losses.

8.3 Termination by User

You may terminate your account at any time by contacting customer service at info@tinies.xyz. Please note that terminating your account may lead to the loss of content, data, and functionality associated with your account.

8.4 Survival

Upon termination, all provisions of these Terms which by their nature should survive will survive, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

8.5 Effect of Termination on NFTs

In the event of termination, the ownership of any NFTs associated with your account will be subject to the rules and regulations of the blockchain network on which the NFTs reside. Please note that Satoshis Games Inc. does not have control over such blockchain networks and cannot recover or manage NFTs on terminated accounts.

9. Limitations of Liability

9.1 General

To the fullest extent permitted by applicable law, in no event will Satoshis Games Inc., its affiliates, officers, directors, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, lost revenue, lost sales, lost goodwill, loss of use or lost content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if Satoshis Games Inc. has been advised as to the possibility of such damages or could have foreseen such damages.

9.2 Limitation of Damages

To the maximum extent permitted by applicable law, the aggregate liability of Satoshis Games Inc., its affiliates, officers, directors, employees, agents, suppliers or licensors, relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to Satoshis Games Inc. for the prior one month period prior to the first event or occurrence giving rise to such liability.

9.3 Indemnification

You agree to indemnify and hold Satoshis Games Inc. and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys' fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Service or any willful misconduct on your part.

9.4 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations of this section may not apply to you.

10. Dispute Resolution

10.1 Initial Dispute Resolution

Most disputes can be resolved without resort to litigation. You can reach our support team at info@tinies.xyz. The parties agree to use their best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit or arbitration.

10.2 Binding Arbitration

If the parties do not reach an agreed-upon solution within a period of 30 days from the time informal dispute resolution is pursued pursuant to section 10.1 above, then either party may initiate binding arbitration. All claims arising out of or relating to these Terms (including their formation, performance and breach), the parties' relationship with each other and/or your use of the Service shall be finally settled by binding arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules and the supplementary procedures for consumer related disputes of the American Arbitration Association (the "AAA"), excluding any rules or procedures governing or permitting class actions.

10.3 No Class Actions

Any dispute arising under this Agreement will take place on an individual basis: class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER.

10.4 Exception - Litigation of Intellectual Property and Small Claims Court Claims

Notwithstanding the parties' decision to resolve all disputes through arbitration, either party may bring enforcement actions, validity determinations or claims arising from or relating to theft, piracy or unauthorized use of intellectual property in state or federal court with jurisdiction or in the U.S. Patent and Trademark Office to protect its intellectual property rights ("intellectual property rights" means patents, copyrights, moral rights, trademarks, and trade secrets, but not privacy or publicity rights).

10.5 Governing Law & Venue

This Agreement will be governed by and construed in accordance with the laws of the State of California, USA without regard to its conflicts of laws principles. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

11. Changes to These Terms

11.1 Right to Update Terms

Satoshis Games Inc. reserves the right to modify, add or delete portions of these Terms of Service at any time and at its sole discretion. If we do this, we will post the changes to these Terms on this page and will indicate at the top of the page the date these Terms were last revised.

11.2 Notification

We will also endeavor to notify you of any significant changes to these Terms, either through the Service user interface, in an email notification, or through other reasonable means. Any changes will be effective immediately upon posting of the revisions on the Service.

11.3 Continued Use

Your continued use of the Service after the effective date of any such changes will constitute your acceptance of and agreement to such changes. If you object to any change, your sole recourse shall be to immediately terminate your account and cease use of the Service.

12. Governing Law

12.1 Applicable Law

These Terms of Service and any dispute or claim arising out of or in connection with their subject matter or formation shall be governed by and construed in accordance with the laws of the State of California, United States.

12.2 Jurisdiction

The state and federal courts located in the State of California, United States, will have exclusive jurisdiction to adjudicate any dispute arising out of or relating to these Terms of Service or its formation, interpretation or enforcement.

12.3 International Users

Satoshis Games Inc. operates globally so it is necessary to transfer your information internationally. In particular, your information will be transferred to and processed in the United States. If you are an international user, you acknowledge and agree that Satoshis Games Inc. may collect and use your personal data and disclose it to other entities outside your resident jurisdiction. This includes transferring your personal data to the United States, where our servers are located.
